Virginia Residential Property Disclosure Act: What the Exam Actually Tests

The Virginia Residential Property Disclosure Act (VRPDA, Va. Code §55.1-700 et seq.) creates a unique two-track disclosure framework. Sellers can choose between providing a substantive Disclosure Statement OR a Disclaimer that opts out of substantive disclosure.

The exam tests VRPDA 5-7 times across the 40 state questions.

The two tracks

Track 1: Disclosure Statement

  • Seller provides a written disclosure of known property conditions
  • Disclosure covers structural, mechanical, environmental, and other material facts
  • Buyer relies on the disclosure as part of their decision

Track 2: Disclaimer Statement

  • Seller provides a written Disclaimer that the property is sold "as is"
  • Seller does NOT provide substantive disclosure
  • Buyer is responsible for due diligence
  • Seller still must avoid affirmative misrepresentation

The Disclaimer track is uniquely Virginia. Most states require disclosure. Virginia allows the seller to opt out.

What the Disclosure covers

If the seller chooses Disclosure Statement, the form covers:

  • Knowledge of latent defects
  • Pending legal claims
  • Hazardous materials
  • Environmental issues
  • Boundary disputes
  • Other material facts

The seller signs that the disclosure is accurate to their knowledge.

What the Disclaimer says

The Disclaimer Statement reads roughly: "The seller makes no representations or warranties regarding the property's condition. The buyer is purchasing the property as is and is responsible for inspections and due diligence."

The Disclaimer protects the seller from many disclosure-based claims but does NOT protect against:

  • Affirmative misrepresentations
  • Failure to disclose latent defects the seller actively concealed
  • Federal disclosure requirements (lead paint)

Timing requirements

The Disclosure or Disclaimer must be delivered:

  • Before the buyer signs the purchase agreement, OR
  • Within 3 days after signing (with right to terminate within 3 days of receipt)

Late delivery triggers the buyer's right to terminate.

The licensee's role

A Virginia licensee must:

  • Inform the seller of the VRPDA requirement
  • Help seller decide between Disclosure or Disclaimer
  • Ensure delivery before or within 3 days of contract signing
  • Inform the buyer of the right to receive the form
  • Inform the buyer of termination rights for late delivery

Caveat emptor and VRPDA

Virginia's caveat emptor tradition aligns with the Disclaimer option. Sellers who choose the Disclaimer essentially invoke caveat emptor: buyer beware.

But caveat emptor has limits:

  • Cannot make affirmative misrepresentations
  • Cannot conceal latent defects
  • Cannot violate fair housing or other consumer protection laws
